Eligibility

The Bitcoin Bourbon™ Bitcoin Giveaway ("Bitcoin Giveaway") is open only to legal residents of jurisdictions where alcohol promotions, sweepstakes and/or their combination are permitted by law. Entrants must be at least 21 years old at the time of entry. Employees, officers, directors, and agents of Heritage Distilling Co. (“Sponsor”) and their immediate family members are not eligible.

One email address for entries per person is allowed. People found to be entering the contest multiple times using different email addresses will be disqualified from the contest.

Contest Start and End Date

Contest will start upon formal announcement by the Company when Bitcoin Bourbon is being released. Contest end date is anticipated to be sometime in December 2025 and will be announced when the contest officially starts. Until then, all free pre-entries will be collected and upon the official start of the contest, all qualified entries will be entered into the pool for the drawing.

How to Enter

A. Free Entry (No Purchase Necessary)

B. Purchase Entry (Maximum of Two Product Units Eligible)
If you purchase up to two (2) Product Units of Bitcoin Bourbon™ (the “Product Unit”) online via the Heritage Distilling portal using Bitcoin as the payment method, you will receive the following:

- One (1) entry per Product Unit purchased.
- At checkout, you will be presented with an option to check a box to receive one (1) additional free entry into the Bitcoin Giveaway at no additional cost or obligation for each Product Unit purchased using Bitcoin as the form of payment.

The purchase of two (2) qualifying Product Units using Bitcoin as the form of payment may be made in one single transaction or two (2) separate transactions.

Maximum entries for purchasers (2 Product Units):
- 2 Product Units × 1 purchase entry each = 2 entries
- 2 Product Units × 1 additional free entry each = 2 entries
Total maximum entries for purchasers: 4 entries.

Odds of Winning

Non-purchasers receive five (5) entries each (free entries).
Purchasers can receive up to four (4) entries (maximum for 2 Product Unit purchases).
Therefore, non-purchasers will have better odds of winning than purchasers.

Verification of Entries

Sponsor reserves the right to verify that entries are made by real individuals. Entries generated by script, macro, or other automated means are void. Entries by the same person using different names, email addresses or physical addresses will be disqualified.

Prize

One (1) grand prize of one (1) whole Bitcoin will be awarded to a randomly selected winner from all eligible entries.

Risk of Change of Prize Value; Withholdings and Fees

The winner acknowledges that cryptocurrency prizes, including Bitcoin, are inherently volatile and that the value of the prize may fluctuate before, during and after transfer. The Sponsor disclaims any responsibility for changes in value, exchange rates, or future market performance of the Bitcoin prize.

Specifically, the value of a Bitcoin may fluctuate between the time of this announcement and the end of the Bitcoin Giveaway contest period.  The value of a Bitcoin may also fluctuate between the time when a person enters the contest and the end of the Bitcoin Giveaway contest period.  Sponsor is not guaranteeing any specific value of the winning Bitcoin in terms of United States Dollars or any other currency. Sponsor shall not be responsible for the actual value in United States Dollars or any other currency for the Bitcoin at the time a winner is selected or transferred. The actual prize’s value will be determined at the time of transfer of the Bitcoin, net of any network transaction or burn fees. Winner will bear risk of loss or diminution in the value of the Bitcoin prize between the time winner is selected up through the final time of vetting the winner, receiving final verified transfer instructions to receive the Bitcoin and when the actual Bitcoin is transferred. Once transferred winner assumes all risk for the prize and shall indemnify Sponsor against any claims for loss.

Winner shall be responsible for all taxes owed on the prize and authorizes Sponsor to send winner’s information and the value of the prize to the tax authorities in the jurisdiction(s) where winner is responsible for taxes. Depending on the jurisdiction(s) of the winner and the tax law of each jurisdiction, Sponsor may be required to withhold some portion of the prize in United States Dollars or the currency of the appropriate taxing jurisdiction to send directly to the taxing authority.

Winner Selection & Notification

The winner will be selected in a random drawing conducted by the Sponsor. The potential winner will be notified by email within a reasonable time. The potential winner must complete an Affidavit of Eligibility and Liability/Publicity Release (where permitted by law). If required documents are not completed in time, or if the potential winner is disqualified, an alternate winner may be selected.

Additional Rules and Restrictions

Additional rules and restrictions may be announced at the time of Bitcoin Bourbon’s official launch. Sponsor reserves the right to cancel or modify the Bitcoin Giveaway if fraud or technical failures compromise its integrity. Sponsor reserves the right to update rules or remove jurisdictions from participation or qualification in the event regulations, statutes or interpretation from jurisdictions change or in the event a jurisdiction informs Sponsor that the Bitcoin Giveaway is not allowed in the jurisdiction.

Sponsor’s Right to Terminate Contest

Sponsor reserves the right to terminate the contest any time up to the time when the Product Unit is released for sale without any further liability or obligation.

Void Where Prohibited

This Bitcoin Giveaway is void where prohibited by law.

State-Specific Disclaimers

California Residents:
No Purchase Necessary to Enter or Win. In accordance with California Business & Professions Code § 25600.1, no entries are conditioned on the purchase of alcohol. Purchasers and non-purchasers receive different numbers of entries to ensure no inducement to purchase. Alcohol purchase does not improve your chances of winning. Entries received at the time of a purchase, or after such purchase, may be removed from the final entry pool if not otherwise qualified under California law.

New York Residents:
Sweepstakes involving prizes over $5,000 require registration and bonding. This Bitcoin Giveaway has not yet been registered under New York General Business Law § 369-e. New York residents not eligible to win unless and until it becomes registered in New York. No purchase necessary to enter or win.

Florida Residents:
This Bitcoin Giveaway is not an illegal lottery under Florida Statutes Chapter 849, as no purchase is required to participate. Non-purchasers receive more entries than purchasers to ensure no purchase advantage.

Release & Limitation of Liability

By participating, entrants agree to release and hold harmless the Sponsor and their affiliates from any and all liability for any injuries, losses, or damages of any kind arising from or in connection with participation or the prize.

✅ Winner’s Responsibility
The winner is solely responsible for providing a valid and accurate Bitcoin wallet address to receive the prize. Heritage Distilling Co. (the “Sponsor”) will not be responsible for any lost, misdirected, or otherwise unrecoverable Bitcoin transfers resulting from:
- Inaccurate wallet addresses provided by the winner.
- Any third-party compromise of the winner’s wallet address or private keys.
- Any errors in the winner’s communication of wallet address information.

✅ Finality of Bitcoin Transfers
Bitcoin transfers are irreversible. Once the prize has been sent to the Bitcoin address provided by the winner, Sponsor will have no further liability or obligation with respect to the prize. Network or burn fees may reduce the amount of actual Bitcoin received by the winner.

✅ Security Measures
Sponsor recommends that the winner use best practices to secure their wallet address and private keys. Sponsor will not request or store the winner’s private keys at any time.

✅ Winner Verification
Sponsor reserves the right to verify the winner’s identity and may require additional steps (such as a video call or secure email confirmation) to confirm the authenticity of the prize claim and wallet address.
